Company: Refers to Globe Automation Solutions, the provider of industrial automation services and Products
Client: The entity or individual who purchases services or products from the Company.
Services: Includes design, programming, installation, maintenance, and consultation provided by the Company
Products: Any equipment, software, or materials provided by the Company as part of the services
2. Scope of Services
The Company agrees to provide the Client with industrial automation services as outlined in the specific Service Agreement.
The Company reserves the right to adjust the services as necessary to meet industry standards or client requirements.
3. Intellectual Property
All intellectual property developed or used by the Company in the delivery of services remains the property of the Company unless otherwise agreed in writing.
The Client is granted a limited, non-exclusive license to use the Company’s intellectual property solely for internal use.
4. Confidentiality
Both parties agree to keep any proprietary information received during the project confidential and not disclose it to any third party without prior consent.
Confidentiality obligations remain in effect for a period of [number] years following the termination of the Service Agreement.
5. Termination and Cancellation
Either party may terminate the Service Agreement with written notice if the other party fails to fulfill its obligations under these terms.
The Client may cancel the service with written notice; however, they may be responsible for costs incurred up to the date of cancellation.
6. Dispute Resolution
Any disputes arising from these terms will first be addressed through negotiation between the parties.
If unresolved, the dispute may be referred to mediation or arbitration as per Delhi jurisdiction’s regulations.
Governing law for these terms will be that of the Globe Automation Solutions primary jurisdiction.
7. Limitation of Liability
The Globe Automation Solutions liability for any claim related to services or products is limited to the total amount paid by the Client for those services.
The Globe Automation Solutions is not liable for indirect damages, including but not limited to lost profits, production downtime, or data loss.
8. Amendments
These terms may be updated or modified by the Company from time to time. Clients will be notified of any material changes, which will apply to new service agreements
9. Acceptance of Terms
By engaging in the Globe Automation Solutions services, the Client acknowledges acceptance of these Terms and Conditions in their entirety.
